Apple RSU Vesting & Tax Withholding Guide

Unlike companies that vest monthly or quarterly, Apple’s standard RSU grants vest semi-annually—most commonly on April 15 and October 15. Concentrating a full year of equity compensation into just two vest dates creates two massive liquidity and tax events per year. Furthermore, the April 15 vest lands on the exact same day that both prior-year April tax balances AND Q1 1040-ES estimated taxes are due.

Vesting Schedule, Release Dates & Multi-Year Stacking

Vesting Cadence: Semi-annual vesting (25% per year split into two 12.5% tranches every 6 months)

Release Schedule: April 15 and October 15 (new-hire grants may vest on the 1st or 15th of the 6-month anniversary month; annual October refreshers vest April 15 & October 15).

The semi-annual April 15 / October 15 schedule creates an acute IRS estimated tax timing mismatch. Specifically, IRS Q2 estimated taxes cover April 1–May 31 (due June 15), while Q3 covers June 1–August 31 (due September 15), and Q4 covers September 1–December 31 (due January 15). Because Apple’s vests occur in April (Q2 period) and October (Q4 period), employees have $0 vest income in Q1 and Q3 but huge spikes in Q2 and Q4.

Brokerage Administration & Withholding Elections (E*TRADE by Morgan Stanley)

Default Withholding Policy: E*TRADE executes net-share withholding / sell-to-cover at the 22% statutory federal supplemental rate (37% above $1M), plus statutory state rates.

How to Adjust Your Withholding Rate: Log in to E*TRADE Stock Plan (or Apple’s internal people portal) at least 2–3 weeks before April 15 or October 15 to verify whether supplemental tax withholding rate elections are open for your grant type. In addition, Apple employees participating in the Employee Stock Purchase Plan (ESPP) with a 15% lookback discount should account for disqualifying disposition ordinary income on their W-2.

Form W-2 Box 14 & Form 1099-B Cost Basis Reconciliation

Apple uses net-share settlement for many RSU releases (where Apple withholds the tax shares directly and delivers the net shares to E*TRADE, rather than executing an open-market brokerage sale). If your shares were net-settled, you will only receive a 1099-B for shares you subsequently sold yourself on the open market. If you sold shares immediately after vest, verify Box 1e on your E*TRADE 1099-B against the Stock Plan Confirmations PDF.
