Stripe RSU Vesting & Tax Withholding Guide

Stripe has pioneered ongoing employee liquidity for a late-stage private company by waiving liquidity triggers on specific RSU cohorts and executing regular company-sponsored tender offers to cover tax obligations and provide secondary liquidity. However, when Stripe net-settles shares at vest or executes a tender offer, payroll withholding still defaults to the 22% federal statutory rate—leaving a 10% to 15% cash tax gap on illiquid private equity.

Vesting Schedule, Release Dates & Multi-Year Stacking

Vesting Cadence: Quarterly vesting (historically double-trigger RSUs modified via company-sponsored liquidity and tender offer settlements)

Release Schedule: Quarterly vest tranches paired with periodic company-sponsored tender offers and RSU tax-withholding liquidity settlements.

The biggest danger with late-stage private RSUs is the "Illiquidity Tax Squeeze." If your RSUs vest and trigger W-2 ordinary income during a calendar year, the IRS demands cash payment by each quarterly estimated deadline (or April 15), regardless of whether you can sell the remaining private shares. Never rely on future tender offers happening before April 15 to fund prior-year tax shortfalls.

Brokerage Administration & Withholding Elections (Carta / Morgan Stanley at Work)

Default Withholding Policy: Company net-share settlement at vest or tender offer participation withholds the statutory minimum 22% federal supplemental rate (37% above $1M) plus statutory state withholding.

How to Adjust Your Withholding Rate: Unlike public company employees who can log into Schwab or Fidelity any day and sell extra shares on the open market to pay the IRS in April, Stripe employees hold private shares that cannot be traded outside designated tender offer windows. Therefore, when a tender offer window opens on Carta / Morgan Stanley at Work, you must sell enough secondary shares (or set aside cash from your base salary) to cover the 13%–15% federal and state underwithholding gap.

Form W-2 Box 14 & Form 1099-B Cost Basis Reconciliation

Private RSU settlements and tender offer sales require careful reconciliation between your W-2 and any Form 1099-B issued by the tender offer paying agent. Net-settled RSU vests are taxed purely as W-2 ordinary wage income at the board-approved 409A / tender valuation. If you also sell already-settled shares in a subsequent tender offer at a higher valuation, the difference between the tender price and your vest-date FMV is taxed as a short-term or long-term capital gain.
